Jones Day provides corporate and transactional services to a broad array of clients, from Fortune 500 corporations to start-up companies. Jones Day has ranked #1 in the world in number of mergers & acquisitions for six years running. Lawyers in our capital markets practice have experience in the full range of equity and debt offerings, and also advise clients on their public disclosure and reporting obligations, as well as corporate governance matters. Our banking & finance practice represents financial institutions as well as borrowers, lessees, and other capital users, in a broad range of commercial financing transactions. Our business restructuring & reorganization team represents debtors, creditors, and other parties in bankruptcy restructurings and other matters involving financially distressed entities. Jones Day regularly represents a wide variety of large and small private equity fund sponsors and investors in hundreds of transactions each year. Finally, our real estate practice was ranked No. 1 globally by number of deals in both 2004 and 2003. 

Our litigation practice was the first recipient of the American Lawyer's "Litigation Department of the Year" award, in 2002, and was a finalist again in 2004. A significant part of our practice deals with complex, multidistrict litigation and coordinated state law proceedings involving multiple adversaries. Most of our litigators are "general practitioners" in the trial practice section, where they can work on a wide variety of litigation matters, often in tandem with lawyers from more specialized practices of the Firm. 

Other litigation-based practices include Jones Day's securities and SEC enforcement practice, which represents companies and their directors and officers in securities fraud class actions, shareholder derivative actions, and federal and state regulatory investigations. Lawyers in our corporate criminal investigations  practice defend companies and individuals against allegations relating to every significant area of white-collar crime. Jones Day's product liability & regulation practice, named by the American Lawyer as the "Best Product Liability Practice" in 2004, advises and defends national and international manufacturers in multi-jurisdictional matters and class actions, in products liability and toxic tort cases throughout the U.S. and around the world. Our labor & employment practice represents corporate clients in all areas of labor and employment law, including employment discrimination; traditional labor work on behalf of management; and counseling clients on labor and employment aspects of corporate transactions, ERISA and employee benefits, and OSHA. The issues & appeals practice consists of nationally recognized trial and appellate lawyers who practice before the U.S. Supreme Court and federal and state appellate courts, who also work closely with other Jones Day litigators to position and present legal issues before and during trial in the lower courts. Finally, globalization of business activity has fueled parallel growth in international litigation and arbitration, and our lawyers in that practice have extensive experience with complex issues of U.S., foreign and international law in cross-border settings.

Our antitrust and competition lawyers represent major corporations in merger review proceedings and criminal and civil investigations before the U.S. Federal Trade Commission and Department of Justice, the European Commission, and national competition authorities throughout Europe and Asia. We also provide a full range of counseling on competition issues, and our competition lawyers work closely with members of the litigation practice in a wide variety of antitrust litigation.

Jones Day has one of the largest intellectual property practices of any firm. Many of our lawyers have technical or science degrees and significant work experience before attending law school.  We represent both traditional industries and cutting-edge technology companies, and provide a complete array of intellectual property services, including patent prosecution and litigation (including Section 337 proceedings and appeals to the Federal Circuit), licensing and technology transactions, and copyrights and trademarks. One particular industry focus of the IP practice is our life sciences practice, which provides highly focused services to clients in the pharmaceutical, biotechnology, and medical device industries, as well as research institutions, universities, and financial and investment institutions active in the life sciences arena.

Jones Day's interdisciplinary approach to its health care practice is designed to facilitate counseling about the health care industry and the ever-changing world of health care regulation. We provide transactional, antitrust, compliance counseling and defense, tax, and labor & employment advice to a wide variety of health care clients.

Lawyers in Jones Day's tax practice bring to bear a strategic focus that stresses familiarity with their clients' business practices and developments, along with a technical mastery of U.S. and foreign tax laws, to structure the most advantageous tax treatment of their businesses. The employee benefits & executive compensation practice provides sophisticated, practical legal advice to business organizations regarding employee compensation and benefits matters.

Jones Day represents clients in a wide variety of legal matters involving foreign, federal and state governments. Lawyers in our government regulation practice offer clients a comprehensive approach to dealing with a wide array of complex statutory and regulatory issues and government-related problems, which often involve parallel (and sometimes conflicting) administrative, Congressional, and agency investigations and litigation. In addition to working closely with many of the Firm's other practice sections, particular areas of focus of this practice include environmental, health and safety; government contracts; and international trade.

Our energy delivery & power team provides transactional, regulatory and litigation services to U.S. and international electric and gas utilities; natural gas pipelines; and other participants in the worldwide utility and power industries. Lawyers in the oil and gas practice advise oil and gas producers, pipeline and distribution companies, project developers, and other entities on all aspects of upstream, midstream, and downstream oil and gas (including LNG and shipping), petrochemical, and power projects worldwide.
