David Guedry is nationally recognized for nearly 20 years of leadership at structuring outsourcing relationships, joint ventures, mergers and acquisitions, and other complex business arrangements. He primarily advises technology-based businesses that are engaged in these transactions and also helps them develop their overall legal and business strategies.
David excels at giving his clients strategic advice on the structuring of business relationships, then translating strategy into the practical negotiation and documentation of the deal. He has significant experience at managing the complexities of:
information management and telecommunication outsourcing agreements
business process outsourcing arrangements, with an emphasis on HR outsourcing
domestic and international distribution relationships
licensing arrangements and
joint ventures, partnerships, strategic alliances, and teaming relationships.
Although David's primary emphasis is on working with technology businesses, a wide range of clients look to him for guidance. He has handled billions of dollars of outsourcing and other arrangements for Electronic Data Systems Corporation, a leading global provider of information technology services; Perot Systems Corporation; CGI Group, a Montreal-based information technology outsourcing company; and Hewitt Associates, a leader in the field of human resource outsourcing. He represents large multinational retailers, manufacturers, airlines, and other service companies in their contractual relationships with technology service providers. Other clients that David has similarly advised include a Big Four accounting firm in the structuring of a global delivery model for a new outsourcing services offering and the Houston Independent School District. The following describes his work for these and other clients in greater detail:
Electronic Data Systems (EDS): handled numerous outsourcing and contracting matters exceeding several billion dollars, including its information technology services and telecommunications relationships with major airlines, global financial institutions, manufacturing companies, energy companies, and telecommunication carriers. Also assisted EDS in the successful renegotiation and restructuring of several of its largest customer relationships.
CGI Group: served as U.S. outsourcing counsel for CGI, based in Montreal, Canada, in transactions in the financial services and manufacturing industries.
Houston Independent School District: represented the district in privatizing and outsourcing the management of more than 25 million square feet of facilities, a multimillion dollar annual food services program, and a 30,000 employee human resources and payroll operation.
Other client work in outsourcing transactions: represented Perot Systems Corporation, a global provider of technology-based business solutions, in the structuring and negotiation and restructuring of its multibillion dollar global information technology outsourcing relationship with a Europe-based financial institution. Also represented Hewitt Associates in structuring and negotiating a large end-to-end HR outsourcing arrangement with a multinational services and consulting company.
Other client work in strategic business relationships: advised large multinational customers, including retailers, manufacturers, airlines, and other service companies in strategic relationships with IBM, ACS, PeopleSoft, and other providers. Many of these transactions involved working closely with large consulting intermediaries such as TPI and Everest.
Other client work on general corporate matters: counsel to a Texas-based company that develops and distributes intelligent telecommunications network products on a variety of corporate matters, including structuring and negotiating relationships with MCI, AT&T, Lucent Technologies, and the regional Bell companies.
A number of leading publications have recognized David for his skill at crafting these business arrangements. He was selected for the prestigious Chambers Global 2007 for "offering excellent advice" in outsourcing deals and in Chambers USA: America's Leading Business Lawyers directory in 2005, 2006, and 2007, where he was ranked in the first-tier nationally for business process outsourcing and in Texas for technology. Chambers declared that he is "one of the top five outsourcing lawyers in the country." He is described as "just fantastic" and "a rainmaker who instills confidence in clients with his marvelous project management skills and fantastic problem-solving abilities." He is also featured in the 2006 editions of The Lawdragon 500 New Stars, New Worlds and Texas Super Lawyers.
Professional organizations of which David is a member include the American Bar Association and the State Bar of Texas. His community involvement includes and has included serving as a member of the board of directors for the Water Tower Theatre of Dallas and as member of the board of directors for the Dallas Chapter of the American Red Cross.
