Randy Walters heads the Mergers & Acquisitions, Capital Markets, and Private Equity practices in the Columbus Office. He is listed in The Best Lawyers in America 2006, and his practice includes a broad range of corporate, transactional, and securities work, with extensive experience in the following areas:
mergers, acquisitions, divestitures, and going private transactions, including distressed M&A transactions in and outside of bankruptcy proceedings
securities offerings, including public offerings and private placements of equity and debt securities
securities compliance, disclosure, and other counseling for companies with publicly traded securities
corporate counseling and governance matters, including takeover defense and Sarbanes-Oxley compliance matters
counseling boards of directors and senior management in crisis, liquidity, insolvency, and bankruptcy situations, including special committees and fiduciary duty issues
conducting internal and independent investigations relating to securities law compliance, accounting irregularities, and criminal and government contracting matters and
financing transactions, representing both lenders and borrowers, including restructuring and reorganization transactions in and outside of bankruptcy proceedings.
Randy has represented a wide variety of corporate clients, including large publicly traded corporations, private equity funds, privately held corporations, partnerships, joint ventures, and financial institutions, including insurance companies. He specializes in the representation of private equity funds and large international corporations in connection with their acquisition and disposition programs in the United States and the ongoing representation of their portfolio companies and domestic operations. He also specializes in representing insurance companies and regulators in mergers and acquisitions, mutual holding company reorganizations, and regulatory matters.
Representative clients include Abbott Laboratories, Alliance Industries, Apollo Tyres (India) Ltd., Baird Capital Partners, Battelle Memorial Institute, Big Lots, Chris-Craft Corporation, CUNA Mutual, Dana Corporation, Huntington Bancshares Incorporated, Indian Motorcycles, Multi-Color Corporation, Nationwide Mutual Insurance Company, Ohio Department of Insurance, The Ohio State University, Questor Funds, Raymond James, Rhodia, Prairie Materials, Service Corporation International, SkyBus Airlines, Stonehenge Partners, Sunbelt Rentals, Truper Herramientas, S.A. de C.V., and Worthington Industries.
He has also served as general counsel for several NYSE companies, has practiced law in Chicago and Houston, and is a member of the American Bar Association (Business Law Section), the Ohio State Bar Association, and the Columbus Bar Association.
