Jones Day advised Jefferies Finance LLC, as administrative agent, collateral agent, joint lead arranger and joint bookrunner, and Jefferies LLC, as representative of the initial purchasers, in connection with the $850 million in financing provided to AMAG Pharmaceuticals, Inc., a specialty pharmaceutical company with a focus on maternal health, anemia, and cancer supportive care, to finance a portion of its acquisition of Cord Blood Registry® (CBR®), a large stem cell collection and storage company. The financing consisted of $500 million in aggregate principal amount of 7.875% Senior Notes due 2023 in a Rule 144A and Regulation S offering and a $350 million term loan.
