Cigna obtains antitrust clearance for $3.8 billion acquisition of Medicare insurer HealthSpring

Jones Day represented Cigna Corporation as antitrust counsel in the $3.8 billion acquisition of HealthSpring, Inc., a Tennessee based insurer that specializes in Medicare Advantage plans. The transaction, which will enable Cigna to provide Medicare benefits to seniors through its private insurance plans, is the largest in Cigna's history.

In November 2011 the parties received early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act after a review by the Antitrust Division of the Department of Justice.
