Yale-New Haven Hospital obtains antitrust approval for proposed Saint Raphael's acquisition

Jones Day represented Yale-New Haven Hospital ("YNHH") in connection with all antitrust matters related to its acquisition of a competing hospital, the Hospital of Saint Raphael's in New Haven, Connecticut. Our work included pre-merger counseling, preparation and filing of pre-merger notification, and responding to FTC and Connecticut Attorney General investigations. The government investigations were closed with no action taken to prevent the acquisition. In addition to antitrust representation, Jones Day also represented YNHH in negotiating the transaction and drafting the deal documents, and advised regarding labor, pension, regulatory, tax, and bankruptcy issues related to the transaction.
