3D Systems acquires Z Corporation and Vidar Systems

Jones Day advised 3D Systems Corporation in its $137 million acquisition of Z Corporation, a provider of 3D printers and scanners, and Vidar Systems Corporation, a provider of medical film scanners that digitize film, from Contex Group A/S, a subsidiary of Ratos AB, a Swedish private equity company. The consideration is cash, and to finance this transaction, 3D Systems has issued $152 million of 5.50% Senior Convertible Notes due 2016 in a private placement.

In addition to M&A representation, Jones Day provided antitrust, benefits, environmental, and tax advice regarding this transaction. Jones Day also advised 3D Systems in connection with the private placement of Convertible Notes.
