Atlas Resource Partners agrees to acquire 277 bcfe of proved reserves in Barnett Shale from Carrizo Oil & Gas

Jones Day advised Atlas Resource Partners, L.P. ("ARP"), a recently formed master limited partnership, in connection with its entry into a definitive purchase and sale agreement to acquire approximately 277 bcfe of proved reserves, including undeveloped drilling locations, in the Barnett Shale in Texas from Carrizo Oil & Gas for approximately $190 million.

ARP also entered into a definitive Common Unit Purchase Agreement pursuant to which various institutional investors agreed to purchase $120 million in Common Units representing limited partnership interests of ARP in a private placement PIPE transaction. The Common Unit Purchase Agreement is to close concurrently with the Purchase and Sale Agreement.
