PCMS successfully resolves software trade secret and breach of contract dispute

Jones Day successfully represented software companies PCMS International, Inc. and PCMS Datafit, Inc. (collectively, PCMS) in a trade secret and breach of contract case involving PCMS' BeanStore software. BeanStore is PCMS' flagship point-of-sale software. Defendant 2295113 Canada had been a long-time BeanStore reseller. Jones Day filed suit in the Delaware Court of Chancery alleging that Canada and its sister company, XCCommerce, had misappropriated PCMS source code and other trade secrets, and had breached its contracts with PCMS by violating confidentiality restrictions and failing to escrow customer-specific software. During discovery, Jones Day brought successful motions to compel and to enforce a discovery order, securing sanctions and an order designating certain facts to be established for purposes of the action against Canada. Shortly before trial, the parties reached a mutually satisfactory resolution.
