Jones Day advised China Orient Asset Management (International) Holdings Limited (“COAMI”) in connection with a junior mezzanine loan secured by a majority membership interest in a real estate joint venture (the “Venture”). The Venture is developing and marketing a luxury condominium building in lower Manhattan. Negotiation of the COAMI loan required securing senior debt and equity consents which allowed for COAMI to obtain collateral within an existing complex capital structure. The COAMI loan will facilitate the continued sales of condominium units, the proceeds of which will retire senior mortgage and mezzanine debt, preferred equity, and the COAMI loan.
