BioMarin announces governance enhancements and value creation initiatives

Jones Day advised the Board of Directors of BioMarin Pharmaceutical Inc. ("BioMarin") in connection with its entry into a Cooperation Agreement and an Information Sharing Agreement with activist shareholder Elliott Management.  Under the Cooperation Agreement, the Board approved the appointment of three new independent directors and established a new Strategic and Operating Review Committee. Elliott agreed to customary standstill, voting, confidentiality, and other provisions.
