Borja Carpintero has more than 15 years of experience advising leading investment banks and financial services firms globally on complex and innovative structured debt products with a focus on delivering tailored, innovative solutions to meet clients' needs.
Borja's transactional practice covers a variety of international and cross-border transactions, debt issues, securitizations, and structured finance transactions across diverse asset classes. This includes on-balance sheet structured note issuances and programmes, as well as off-balance sheet SPV (special purpose vehicle) secured note programmes and repackaging transactions. Borja has advised banks, issuers, and institutional investors on synthetic risk transfer products and synthetic securitizations, including credit-linked note issuances as well as International Swaps and Derivatives Association (ISDA)-based swaps and derivatives.
Prior to joining Jones Day in 2025, Borja advised a Spanish bank on the issue of four hundred million euros of structured notes rated by Fitch and Moody's backed by debt payment obligations from the world's largest copper mine and the second largest copper producer, located in South America, and another Spanish bank on the issue and restructuring of a 300 million euro STS (simple, transparent, and standardised) synthetic securitization on specified assets in a six hundred million euro retained loan portfolio of the bank.
