Emily Cai represents private equity funds and public and private companies in complex domestic and cross-border M&A and private equity transactions. Emily focuses her practice on the representation of private equity funds and privately held companies in leveraged buyouts, divestitures, carve-out transactions, recapitalizations, restructurings, and joint ventures. She also regularly counsels private equity firms and their portfolio companies on corporate governance and general corporate matters and has experience advising clients on growth equity investments including preferred equity investments, secondary sales, debt and equity financings, co-investments, and other types of investments and strategic transactions.
Emily has advised clients on domestic and cross-border transactions in the United States, Greater China, Canada, Europe, South Asia, Latin America, and Africa. She has represented clients in a wide range of industries, including energy, infrastructure, manufacturing, technology, telecommunications, and consumer goods.

Emily has been recognized by The Legal 500 as a key lawyer in the private equity buyouts area in 2022, 2023, and 2024. Emily is fluent in Mandarin and Cantonese and is qualified to practice PRC law.

Represented China-ASEAN Investment Cooperation Fund, a USD-denominated quasi-sovereign private equity fund under the direction of the Chinese government that invests throughout Southeast Asia, in its equity and debt investments in the largest ferro-nickel smelter project in Indonesia.
Represented GIC Private Limited, a Singapore sovereign wealth fund, in its Series D investment in Xiaomi, China's leading smartphone technology company.
