Thibault Schulthess regularly advises French and foreign companies on domestic and cross-border mergers, acquisitions, disposals, joint ventures, alliances, and other strategic operations. His practice also covers general corporate law issues (e.g. corporate governance, intra-group reorganizations, and studies around foreign companies' set-up in France) including, where necessary, the coordination of multidisciplinary legal teams in different jurisdictions.
Thibault has acted for major corporate and industrial clients in a wide range of industries, such as energy, banking, health care, chemicals, and pharmaceuticals.
Recent deals on which he has been involved include Sanofi's carve-out leading to the creation of Euroapi (specialist in the development, manufacture, and marketing of active pharmaceutical ingredients), followed by its listing on Euronext Paris; the sale by the American group Calgon Carbon Corporation of its diatomite and perlite activities in Europe (including three mining and industrial assets in France and Italy) to Imerys; and the setting up of joint ventures between Orano and the Chinese group XTC New Energy dedicated to the production of critical materials for electric vehicle batteries (with a view to setting up two production plants on an industrial site in Dunkirk).
In addition, Thibault regularly represents Sanofi in the sale of portfolios of health care and pharmaceutical products.
