Jones Day obtained resolution of claims by a leading indoor and hydroponic gardening company arising from its purchase of certain assets pursuant to an asset purchase agreement. The company sued the seller for the seller's breach of indemnification provisions under the purchase agreement and for breach of its representations and warranties in connection with the transaction. The seller did not move to dismiss the company's complaint and asserted counterclaims. While the company's motion to dismiss the seller's counterclaims was pending, the parties resolved the matter on mutually agreeable terms.
