Katie Drees advises public and private companies on transactions and issues related to capital markets and corporate governance. She represents clients in debt and equity securities transactions and assists companies as they navigate securities regulations, disclosure obligations, and reporting requirements. Katie also helps companies respond to matters regarding shareholder activism.

Katie has worked with clients from a diverse range of industries, including manufacturing, media, and retail. Her recent experience includes the successful proxy contest defense for GrafTech International and a $1.25 billion private offering for Gray Television.

  • Innventure enters agreement with Learn CWJones Day advised Innventure LLC in its business combination with Learn CW Investment Corporation, a publicly traded special purpose acquisition company (NYSE: “LCW”) sponsored by CWAM LC Sponsor LLC, an affiliate of Learn Capital and Commonwealth Asset Management.
  • Bunge Limited Finance completes $2 billion public offering of Senior NotesJones Day represented Bunge Limited Finance Corp. ("BLFC") in connection with a public offering of $2 billion of Senior Notes, consisting of $400 million aggregate principal amount of 4.100% Senior Notes due 2028, $800 million aggregate principal amount of 4.200% Senior Notes due 2029, and $800 million aggregate principal amount of 4.650% Senior Notes due 2034.
  • Roper Technologies completes $2 billion public offering of Senior NotesJones Day represented Roper Technologies, Inc. in connection with its $2 billion public offering of Senior Notes, consisting of $500 million of 4.500% Senior Notes due 2029, $500 million of 4.750% Senior Notes due 2032, and $1 billion of 4.900% Senior Notes due 2034.
  • Gray Television completes $1.85 billion refinancing, including $1.25 billion private offering of Senior Secured First Lien Notes and new $500 million senior secured term loanJones Day represented Gray Television, Inc. (“Gray”), a television broadcast company headquartered in Atlanta, Georgia that owns and/or operates television stations and digital assets in 114 television markets that collectively reach approximately 36% of U.S. television households, in connection with its (i) private offering of $1.25 billion aggregate principal amount of 10.500% Senior Secured First Lien Notes due 2029 (the “Notes”) under Rule 144A and Regulation S, and (ii) new $500 million term loan “B” facility.
  • GrafTech International proxy contest with Nilesh UndaviaJones Day advised GrafTech International Ltd. in its successful proxy contest defense against activist shareholder Nilesh Undavia. GrafTech’s Annual Meeting was held in May 2024.
  • Newell Brands amends $1 billion revolving credit facilityJones Day represented Newell Brands Inc. (“Newell”), a leading consumer products company, in connection with the amendment restructuring its existing revolving credit facility.
