Jones Day advised AMS-IX BV in creating a corporate and operational structure to launch AMS-IX Internet exchange in the U.S. The structure allows for an internet network expansion into the U.S. without potential spill over of the U.S.A. Patriot Act into Europe/Asia and Africa networks where AMS IX currently operates. It is the second largest internet exchange in the world with a connected capacity in excess of 10 Tb/s. The new entity is meant to enable deployment of Internet exchanges in the U.S., which will not be physically connected to the AMS-IX exchange platform in Amsterdam, but are stand alone IXs. The entity ('U.S. Inc.') will be a Delaware incorporated company. U.S. Inc. will be a wholly owned subsidiary of AMS-IX BV, whereby the two companies act independently from each other. In the event of potential future changes in U.S. law (for instance the adoption of an extraterritorial effect of the U.S.A. Patriot Act) an independent Dutch orphan foundation can be formed at any time to acquire U.S. Inc. severing the link between U.S. Inc. and AMS-IX BV.
