Jones Day advised Michael Baker Corporation, a provider of professional engineering and consulting services, in its $396.5 million acquisition by Integrated Mission Solutions, an affiliate of DC Capital Partners. The transaction was structured as a tender offer followed by a second-step transaction at $40.50 per share, a 93% premium to the unaffected stock price prior to DC Capital's initial acquisition proposal at $23.25 per share in December 2012.
