TriMas announces tax-free spin-off of Cequent businesses

Jones Day advised TriMas Corporation in the tax-free spin-off of 100 percent of its Cequent businesses into a new stand-alone, publicly traded company named Horizon Global Corporation. Cequent is a leading designer, manufacturer, and distributor of custom-engineered towing, trailer and cargo management products, and other accessories. The new stand-alone Cequent company consists of TriMas' current Cequent Americas and Cequent APEA segments, with a combined annual revenue of $614 million for the trailing 12 month period ended September 30, 2014.

In addition to M&A representation, Jones Day provided employee benefits and tax advice regarding this transaction.
