ABM to acquire OneSource Services

Jones Day advised ABM Industries Incorporated in connection with its acquisition of OneSource Services Inc., an international business company organized under the laws of Belize, for $365 million in cash, pursuant to a merger of OneSource into a wholly owned subsidiary of ABM. ABM Industries is one of the largest facility contractors listed on the New York Stock Exchange, with operations across the United States and British Columbia, Canada. OneSource was a leader in the outsourced facilities sector and was listed on the London AIM, with operations in the United States. The transaction included a pre-closing spin-off by OneSource of a new public company also listed on the AIM to be used by the former OneSource shareholders for future acquisitions.
