Newell Rubbermaid secures antitrust clearance for $215 million sale of Endicia to Stamps.com

Jones Day represented Newell Rubbermaid Incorporated in securing antitrust clearance from the U.S. Department of Justice for the $215 million sale of Newell's Endicia subsidiary to Stamps.com. Endicia and Stamps.com were the leading providers of internet mailing and shipping solutions for use with the U.S. Postal Service and other carriers. Although the parties were two of a small number of USPS-approved providers of "PC Postage," Endicia and Stamps.com competed in a broader market for mailing and shipping solutions, and they targeted different customers (Stamps.com for small business and enterprise mailing customers; Endicia for high-volume shippers).

After an investigation lasting more than seven months, the Department of Justice unconditionally cleared the transaction without requiring any remedies. Stamps.com announced on November 18, 2015 that it had completed the acquisition.
