After major litigation, a nonprofit receives assistance in its reorganization
Client(s) Texas Neurofibromatosis Foundation
Jones Day Dallas provides both litigation and transactional services to Texas Neurofibromatosis Foundation ("TNFF"), a non-profit organization that conducts fund-raising events, provides educational services and supports and promotes the interests of individuals and their families who have neurofibromatosis, a disease that causes tumors to grow on nerves. Jones Day first defended TNFF against a noncompetition claim from a competing organization. After the completion of the litigation, TNFF determined that it needed to revise its organizational documents to help prevent future challenges to its governing body. Jones Day prepared revised bylaws, amended the Articles of Incorporation, prepared a Conflict of Interest Policy, Whistleblower Policy, Record Retention Policy, Background Check Policy, and Confidentiality Policy, and is in the process of creating an extensive policy manual for the organization. Jones Day lawyers are advising TNFF on multiple corporate governance issues.
