FLEETCOR enters into Cooperation Agreement with the D. E. Shaw Group

Jones Day represented FLEETCOR Technologies, Inc., a $15 billion market cap business payments company, in connection with its entry into a cooperation agreement with shareholder D.E. Shaw. Under the agreement, FLEETCOR will add two new members to its Board of Directors and the ad hoc committee of the Board of Directors will conduct a review of FLEETCOR’s businesses to assist the Board in its consideration of the possible separation or disposition of one or more businesses of the company.
