TonenGeneral Sekiyu combines with JX Group

Jones Day advised TonenGeneral Sekiyu K.K. in connection with the business integration with JX Group, which forms the largest oil refiner in Japan. On April 1, 2017, the business integration was completed by a statutory share exchange in which JX Holdings acquired 100 percent of TonenGeneral’s shares, following a merger between TonenGeneral and JX Nippon Oil & Energy Corporation.

In addition to M&A representation, Jones Day provided antitrust and U.S. securities regulations advice regarding this transaction.
