Jones Day served as lead antitrust counsel for both ProMedica Health Systems, Inc. and HCR ManorCare, Inc., and co-counsel for ProMedica on other complex corporate, bankruptcy, and regulatory issues, in this first of its kind partnership and acquisition. The transaction transformed ProMedica into one of the largest U.S. nonprofit health systems, with 70,000 employees, $7 billion in revenue, and a presence in 30 states spanning the full spectrum of care, including wellness, skilled nursing, memory care, assisted living, hospice, home care and health plans. The parties successfully completed the transaction on July 26, 2018.
