Scott Nelson advises clients on mergers and acquisitions, divestitures, restructurings, and corporate governance and related matters. His practice has involved transactions in a variety of industries globally, including software and technology services, consumer goods, consumer electronics, professional employer organizations (PEOs) and employee leasing, aviation, industrials, payments processing, energy, and life sciences.
Scott's recent software and technology representations include Ansys's (NDAQ: ANSS) acquisitions of Analytical Graphics ($700 million), DYNAmore, Phoenix Integration, and Diakopto; ACI Worldwide's (NDAQ: ACIW) acquisition of Western Union's Speedpay payments processing business for $750 million; Xact Data Discovery (an e-discovery platform) in its acquisition by Aquiline Capital Partners LLC; and Verimatrix (formerly Inside Secure; EURONEXT: VMX) in its acquisition of Verimatrix (a U.S. content security and rights management provider) for $145 million.
Scott has led several transactions for The Procter & Gamble Company (NYSE: PG); Signature Aviation plc, the largest global network of aviation fixed-base operators (FBOs); Engage PEO, a Florida-based PEO; and Bose Corporation. Other recent transactions include Sonepar SAS's sale of the Vallen North America industrial MRO and supply business to Nautic Partners and its acquisition of Billows Electric Supply; Misonix's (NDAQ: MSON) $518 million acquisition by Bioventus (NDAQ: BVS); and Diamond S Shipping's $1.65 billion merger with the tanker business of Capital Product Partners (NDAQ: CPLP).
Prior to his legal career, Scott marketed technology solutions at Apple and interned with Union Pacific Railroad.
Scott has worked pro bono for the board of directors of the American Association of People with Disabilities, Her Justice, and the Legal Aid Society.
