Brian Sedlak co-leads Jones Day's Real Estate Practice worldwide and also co-leads the Firm's Energy Transition and Infrastructure initiative. He advises clients on large-scale infrastructure and industrial projects and represents Fortune 500 companies, large U.S. developers, and real estate funds with their real estate portfolios and investments. He represents the owners and financing parties of major infrastructure assets in the United States, including sports facilities, industrial plants, power generation facilities, parking facilities, and toll roads. He also has significant experience in portfolio sale-leaseback transactions; engineering, procurement, and construction (EPC) agreements; joint ventures; and development of real property.

Brian has led some of the largest public-private partnership (P3) infrastructure transactions in the United States, including representing The Ohio State University for the monetization of its parking facilities for $483 million and Northeastern University's parking P3 monetization transaction. He has led numerous energy P3 transactions, including energy monetization projects for The Ohio State University (in excess of $1 billion), the University of Iowa (in excess of $1 billion), the University of Idaho (in excess of $200 million), and Henry Ford Health System in connection with a design building finance operate and maintain (DBFOM) P3 for a new central utility plant. He also has represented companies in development and construction projects for coal-fired plants, biomass facilities, mines, wind farms, and air quality control systems.

Brian is a member of The Economic Club of Chicago and a board member of the Dean's Advisory Counsel for the Department of Business and Management of Northeastern Illinois University. He also serves on the boards of MetroSquash and The Grant Park Orchestral Association.

Experience

  • Verizon agrees to $3.3 billion tower prepaid lease transaction with Vertical BridgeJones Day is advising Verizon Communications, Inc. in a prepaid lease transaction with Vertical Bridge REIT LLC. In connection with the transaction, Vertical Bridge will obtain the exclusive rights to lease, operate and manage more than 6,000 wireless communications towers across all 50 states and Washington, D.C. from subsidiaries of Verizon for a total value of approximately $3.3 billion, including certain commercial benefits. The transaction is structured as a prepaid lease with upfront proceeds of approximately $2.8 billion in cash.
  • CITGO acquires Big Run Golf ClubJones Day advised CITGO in its acquisition of Big Run Golf Club in Lockport, Illinois.
  • Angelos Family agrees to sell control stake in Baltimore Orioles to Baltimore native David RubensteinJones Day advised the Baltimore Orioles in connection with the sale of a controlling interest in the Orioles to a diverse investor group led by David Rubenstein that includes Michael Arougheti, Mitchell Goldstein, Michael Smith, and Maryland leaders, philanthropists, and sports legends.
  • AGS Agunsa invests in Omni Transloading & Logistics and Omni Bulk ServicesJones Day advised AGS Agunsa, the North American arm of Agunsa and a key player within the Empresas Navieras Group, in the acquisition of a significant equity interest in Omni Transloading & Logistics and Omni Bulk Services.
  • AGS invests in A.R. SAVAGE COMPANYJones Day advised AGS Agunsa, the North American arm of Agunsa and a key player within the Empresas Navieras Group, in the acquisition of a significant equity acquisition in AR SAVAGE COMPANY LLC, along with its associated companies and subsidiaries.
  • Gotion acquires EV battery plant in IllinoisJones Day represented Gotion, Inc. in connection with the acquisition and financing for an electric vehicle battery manufacturing plant located in Manteno, Illinois as part of an expected $2 billion investment in the facility.
  • Hard Rock partners with Steve Cohen to bid for casino and entertainment complex in New YorkJones Day advised Hard Rock International in connection with its partnership with Steve Cohen, owner of the New York Mets, for a bid to secure a downstate New York gaming license.
  • VSE Corporation partners with The Loar Group to acquire Desser AerospaceJones Day advised VSE Corporation (NASDAQ: VSEC) ("VSE") in its acquisition (the "Acquisition") of Desser Aerospace ("Desser") for a purchase price of $124 million.
  • AAR acquires TraxJones Day advised AAR CORP. in the acquisition of Trax USA Corp., a leading independent provider of aircraft MRO and fleet management software, for a purchase price of $120 million in cash, plus up to a $20 million earn-out payment based on specified adjusted revenues in calendar year 2023 and 2024.
  • Hard Rock International refinances existing term loan facilitiesJones Day represented Hard Rock International in connection with the refinancing of its senior secured term loan facility and revolving credit facilities.
  • Agencias Universales S.A. (AGUNSA) acquires 75% of the Carver Maritime Manatee port terminal operator in FloridaJones Day advised Agencias Universales S.A. (AGUNSA) in the acquisition of a 75% equity interest in Carver Maritime Manatee, a terminal operator at SeaPort Manatee, a deep water seaport located at the entrance to Tampa Bay in northern Manatee County, Florida.
  • Hard Rock International acquires The Mirage Las Vegas Hotel and CasinoJones Day represented Hard Rock International (Hard Rock) on the acquisition of The Mirage Las Vegas Hotel and Casino in Las Vegas from MGM Resorts International.
