Woodward acquires MPC Products for $383 million

Jones Day advised Woodward, Inc., a manufacturer and service provider of energy control and optimization solutions for aircraft engines, industrial engines and turbines, and electrical power equipment, in its $383 million acquisition of all of the shares of Techni-Core, Inc. and all of the non-voting common stock of its subsidiary, MPC Products Corporation, and in connection with a related $450 million financing comprised of a $200 million syndicated loan and a $300 million private placement of notes. MPC is a manufacturer of high-performance electromechanical motion control systems primarily for aerospace applications. In addition to M&A representation, Jones Day provided antitrust, employee benefits, environmental, government contracts, labor, real estate, and tax advice.
