IPM Independent Portfolio Manager Limited acquires Solone S.r.l.

Client(s) IPM Independent Portfolio Manager Limited

Jones Day advised IPM Independent Portfolio Manager Limited in: (i) the acquisition of Solone S.r.l. by Solar Park 1 Limited; (ii) signing the "Supply and Installation Agreements" for the construction of three solar parks in Troia, Foggia, Italy, and related "Operations and Maintenance Agreements" between Solone S.r.l. and Sociedad Española de Montajes Industriales S.A.; and (iii) financing the construction of the aforementioned solar parks through three financial lease agreements, and related security documents, between Solone S.r.l. and Unicredit Leasing S.p.A.

Jones Day also assisted the client in the tax structure of the deal, including the drafting of an Association in Participation Agreement between the U.K. parent company and the Italian subsidiary.
