Nationwide Mutual Insurance Co. acquires Nationwide Financial Services for $2.4 billion

Client(s) Nationwide Mutual Insurance Company

Jones Day advised Nationwide Mutual Insurance Company (Mutual) in its $2.4 billion acquisition of Nationwide Financial Services, Inc. Mutual will acquire by merger all of the outstanding publicly held Class A shares of common stock of Nationwide Financial for $52.25 in cash per share.

Nationwide currently owns all of the outstanding NFS Class B common stock, which represents 66.3% of the equity ownership and 95.2% of the combined voting power of the shareholders of NFS.
