Ryan Drzemiecki is a corporate lawyer who focuses his practice on domestic and cross-border M&A as well as general corporate and transactional matters. He has experience representing public and private companies and private equity firms engaged in acquisitions, divestitures, joint ventures, corporate restructurings, and related commercial transactions. Ryan also counsels clients on a variety of general corporate governance matters, including takeover defense and fiduciary duties. He has advised domestic and international clients in a broad range of industries, including automotive retail, specialty manufacturing, industrial metals, chemicals, energy and mining, information technology, health care, cosmetics, and hospitality.
Ryan has counseled clients on numerous transactions, including Asbury Automotive Group (NYSE: ABG) in its recently announced agreement to acquire Jim Koons Automotive Companies for $1.2 billion and its acquisition of Larry H. Miller Dealerships for $3.2 billion; Labcorp (NYSE: LH) in its spin-off of Fortrea (Nasdaq: FTRE); Alcoa Corporation (NYSE: AA) in the sale of its rolling mill business for $670 million; Wabtec Corporation (NYSE: WAB) in its $11.1 billion merger with GE Transportation; and Shiseido Americas Corporation in its $845 million acquisition of Drunk Elephant. Other companies with which he has worked on substantial matters include Tekni-Plex, Allegheny Technologies Incorporated, The Riverside Company, UPMC Enterprises, and Rosebud Mining Company.
