Courtenay Nolan practices in the area of employee benefits and executive compensation and has worked on more than 100 transactions. Her practice covers a wide variety of matters, including advising clients on the employee benefits aspects of corporate transactions and counseling clients on day-to-day general employee benefits and executive compensation issues. Courtenay has substantial experience assisting with equity incentive, employment, severance, separation, bonus, retention, and change-of-control arrangements. She also advises clients regarding the administration and compliance of employee benefit plans and arrangements with the Internal Revenue Code and the Employee Retirement Income Security Act (ERISA).
Transactions that Courtenay has worked on include NVIDIA's $7 billion acquisition of Mellanox Technologies, OMNOVA's $824 million acquisition by Synthomer plc, Cylance's $1.4 billion acquisition by BlackBerry, and Cardinal Health's $1.115 billion acquisition of The Harvard Drug Group. The private equity funds with which Courtenay has worked include: Baird Capital, Cortec Group, Dorilton Capital, High Road Capital Partners, J.F. Lehman, HCI Equity Partners, MPE Partners, Resilience Capital Partners, and The Riverside Company. Courtenay has also assisted a top-tier national university with certain of its employee arrangements and deferred compensation plans for administrators and coaches.
Courtenay volunteers for Working in the Schools (WITS), a nonprofit that empowers young readers in Chicago Public Schools, and Little Brothers – Friends of the Elderly, a nonprofit dedicated to relieving isolation and loneliness among Chicago's elders. She has also done pro bono work for Injustice Watch, the Grant Park Orchestral Association, and the Chicago History Museum.
