Nick Walter is a corporate, commercial, and bankruptcy litigator with in-depth experience in shareholder and bondholder litigation, inter-company disputes, out-of-court debt restructurings, mass tort bankruptcies, and international arbitrations. He also regularly advises on deal structuring and transactional matters.
Before joining Jones Day in 2022, Nick represented corporations in numerous tort actions and complex chapter 11 cases stemming out of alleged asbestos liabilities, including in disputes concerning insurance and indemnification rights. He has been successful in extremely expedited litigation, such as the defense of a lawsuit brought in the Delaware Court of Chancery by a buyer seeking to escape the purchase of an in-flight Wi-Fi provider during the pandemic by invoking a material adverse effect clause and the defense of a lawsuit brought by noteholders to enjoin a debt exchange by an events and gaming company. Nick has represented Latin American financial services companies in arbitration before the International Chamber of Commerce against co-investors claiming almost $1 billion in damages, where he secured an extremely favorable result. Nick also has secured significant wins in appraisal disputes, including two post-trial, below-deal-price decisions in appraisal arbitrage actions brought by hedge funds and a bench dismissal of an appraisal strike lawsuit. Before law school, Nick worked as a management consultant in the financial services industry in Europe and Africa.
Nick serves as an adjunct professor at Fordham Law School, teaching a class on law and technology companies, and has previously been an adjunct professor at Penn State Law. He regularly writes legal articles for practitioner and academic audiences. Nick sits on the Stewardship Committee of St. Michael's Episcopal Church in Manhattan.
