KKR’s OneStream completes $490 million IPO

Jones Day represented KKR, as controlling stockholder, in connection with OneStream, Inc.'s $490 million initial public offering and pre-IPO reorganization into an Up-C structure. The IPO consisted of a primary offering of 18,054,333 shares of Class A Common Stock and a secondary offering of 6,445,667 shares of Class A Common Stock by selling stockholders, including KKR, at $20.00 per share, reflecting a market capitalization of approximately $4.6 billion. Concurrent with the IPO, OneStream purchased 3,006,037 shares of Class C Common Stock and an equal number of OneStream Software LLC units from certain stockholders, including KKR.
