Dennis Coghlan has more than 25 years of experience representing banks, REITs (real estate investment trusts), insurance companies, corporations, and real estate investors in commercial real estate and structured finance transactions, including acquisitions and dispositions, loans (construction, mortgage, and mezzanine), sale-leaseback transactions, restructurings, loan assumptions, and remedies enforcement.
Dennis has represented clients in the acquisition and disposition of vacant land, office and apartment buildings, hotels, senior housing properties, industrial properties, restaurant chains, and warehouse and distribution facilities. He has also represented landlords and tenants in office, commercial, industrial, and retail lease negotiations, including build-to-suit leases.
In addition, Dennis has represented lenders and borrowers in traditional mortgage loan transactions and portfolio lenders, agent banks, and CMBS (commercial mortgage-backed securities) servicers with loan defaults, workouts, restructurings, and deeds-in-lieu of foreclosure.
Prior to joining Jones Day, Dennis represented clients in numerous multimillion dollar matters, including a major health care REIT in the acquisition of a portfolio of 29 medical office buildings in 10 states and in the acquisition of a portfolio of 14 assisted/independent living, continuing care, and retirement facilities in 10 states. He also represented a major national bank in connection with a defaulted mortgage loan secured by a prominent office building in Chicago and in a deed-in-lieu of foreclosure on a regional shopping mall in the Chicago area; a life insurance company in a mortgage loan secured by a residential/retail project in California; and a borrower in connection with a mortgage loan secured by a portfolio of 11 hotels in Wisconsin.
