Jake Miller represents boards, public companies, and other corporate clients in high-stakes corporate and commercial disputes in state and federal courts and in arbitrations. He has represented clients in the Delaware Court of Chancery, in federal courts nationwide including the Southern District of New York and the Northern District of California, and in AAA (American Arbitration Association) and JAMS (Judicial Arbitration and Mediation Services) arbitrations. Jake has handled expedited proceedings and temporary restraining orders and preliminary injunctions and has substantial trial experience. He manages matters from inception through appeal, including motion practice, fact and expert discovery and depositions, class certification, and trial and appellate briefings. His matters span M&A, securities, inter-company, and stockholder disputes, as well as trade secret litigation, mass tort matters, and chapter 11 adversary proceedings. He also counsels clients on litigation risk and strategy in connection with corporate transactions and corporate governance, frequently on live transactions.
Before joining Jones Day in 2023, Jake was a key member of a trial team that defended against multibillion dollar claims in the Delaware Court of Chancery; represented sellers in expedited litigation against buyers seeking to avoid M&A agreements by invoking material adverse effect clauses during the pandemic; and helped achieve a global resolution of significant securities and stockholder derivative litigation.
