David Swinburne has close to 25 years of experience in the private equity sector. His practice includes mid-cap to large-cap leveraged buyouts (LBOs), infrastructure M&A, special situations transactions, and LBO restructurings. He also regularly represents large corporates in their complex transactions involving private equity sponsors (carve-outs, joint ventures, and shareholders' agreement disputes).
David has been recognized by clients in Chambers with a high-level of satisfaction. He has handled numerous transactions including advising the Macquarie funds on various matters including the syndication of their holdings in the Pisto group and the APRR group; OVHCloud on the acquisition of Gridscale; True Green Capital on their investment in the solar platform Faradae; ForTalents on their investments in Groupe Petit Forestier, Paprec, Altavia, and Hôtels Maurice Hurand; InvestIndustrial on their investment in Comax France; Armor Iimak's management on their MBO (management buyout) and the simultaneous investment of the Astorg funds in the group; Kartesia on the debt and equity financing of Orapi; the Noven Group on the successive increase of its stake in Trapil; international financial investors on their bids for the Dunkirk and Fos LNG terminals; and Cyrus Capital Partners on the acquisition of the French business of Toys "R" Us and its combination with PicwicToys.

Advised Pisto (controlled by Macquarie, Predica, and CNP) on the increase of its stake in Trapil.
Advised OVH Groupe on the acquisition of the U.S. and EU vCloud Air business from VMware and on the minority investment of Towerbrook and KKR in its share capital.
Advised Macquarie on the acquisition of a 36 percent stake in Pisto from Antin Infrastructure; on the subsequent disposal of 36 percent and 40 percent stakes to CNP and Predica; and on their tentative public tender offer for Theolia.
Advised Macquarie Autoroutes de France 2 and AREA on their stake in ADELAC, the concessionaire of the A41 motorway.
Advised Nestlé SA on the creation of Froneri Limited, the ice cream joint venture with the R&R Group (controlled by PAI Partners); on the sale of Davigel to Brakes (controlled by Bain Capital); and on its bid for Yoplait (sold by PAI Partners).
Advised Nestlé Health Science on several acquisitions, sales, and R&D joint ventures.
Advised Metric Capital on its investment in Domia.
Advised Change Capital Partners on the acquisition of Paule Ka.
