Tom Devaney has served as a trusted advisor to private fund sponsors and institutional investors for more than two decades. His experience includes a distinguished track record of forming private funds and negotiating sophisticated seed and anchor investor arrangements, management team and portfolio "spin out" transactions, complex limited investor side letters, as well as joint venture arrangements for jointly managed fund platforms, many in excess of $1 billion. He is highly versed in U.S. securities laws, including the Securities Act of 1933, the Investment Advisers Act of 1940, and the Investment Company Act of 1940.
Tom counsels sponsors and management teams of private funds on transactional matters and U.S. securities laws and regulations related to the formation of private funds, their fundraising and subscription phases, and ongoing administration and operations, including co-investment structures and related registered investment advisor (RIA) compliance. In addition, Tom is highly knowledgeable about regulatory developments that impact registered investment advisers and has advised on the design and implementation of compliance programs for numerous private fund sponsors.
Tom represents U.S. domestic and global clients, with a focus on private equity funds, real assets funds, and credit and lending funds. He advises clients on private securities offerings, including cross-border investment and strategic financing transactions, and has counseled clients on the formation, organization, and operation of a range of domestic offshore investment vehicles, based upon tax and regulatory considerations.
