For more than 20 years, Martin Schulz has represented strategic and private equity clients in cross-border and domestic M&A transactions and joint ventures ranging in size from several millions up to several billions of euros as well as in complex corporate restructurings.
Martin has advised on transactions in several industries, including energy, chemicals (plastics recycling), digital services, pharmaceuticals, automotive, and manufacturing. He has particular experience in carve-out transactions, having advised both sellers and buyers on the various aspects of carve-outs. Recently, he represented TotalEnergies in the acquisition of a large green energy trading business, GfK in the sale of a market research division (consumer panel), and LyondellBasell in various joint ventures and investments regarding plastic recycling businesses. Martin also has advised on several corporate restructurings, such as spin-offs under the German Transformation Act (UmwG). Furthermore, he has successfully negotiated many warranty and indemnity (W&I) insurance policies. He coauthored a chapter on M&A purchase agreements and W&I insurance in the well-known German M&A treatise Handbuch Unternehmenskauf (Hölters).
