Seth Engel represents clients on complex cross-border transactions, securities offerings, and financings throughout the world. Having practiced in France and New York, he works hand in hand with European and U.S. public and private companies to advise on strategic transactions. Seth also counsels clients on ongoing disclosure obligations and corporate governance matters, including on environmental, social, and governance (ESG).

Seth focuses on securities offerings and mergers and acquisitions, advising on a diverse array of transactions including capital markets equity offerings, equity-linked and debt offerings, spin-offs, initial public offerings (IPOs), special-purpose acquisition companies (SPACs), public and private placements, exchange offers, dual listings, and public and private M&A. Seth also counsels public companies on day-to-day corporate governance issues and compliance with reporting obligations. Seth has additional experience advising on dispute resolution under a variety of international and domestic rules.

In recent years, Seth has developed significant experience in ESG matters, advising clients on ESG due diligence and regulations, with a focus on the interaction between EU, U.S., and other international frameworks.

Seth's recent transactional experience includes representing: Sanofi, PepsiCo, Voltalia, Cellectis, CARMAT, Carbios, Panalpina, Compagnie des Alpes, Tikehau Capital (capital markets offerings), Framatome, Aurora Capital, Smith & Nephew, DataBank, Société Générale, Lincoln Electric (M&A), Biophytis, Lhyfe, Forsee Power, Dee Tech SPAC, Waga Energy (IPOs), and the Kingdom of Belgium (sovereign debt).

Prior to joining Jones Day, Seth taught law at the Sorbonne in Paris and acted as assistant counsel in multiple pretrial cases at the International Criminal Court in The Hague.
