Bonnie Smith practices in the area of general corporate and securities law, focusing on capital markets and public M&A deals, particularly with respect to U.S. securities law matters. She advises companies and financial institutions on a wide array of cross-border capital markets transactions, including equity and debt offerings, spin-offs, initial public offerings (IPOs), public and private placements, and dual listings. Bonnie also counsels public companies on day-to-day corporate governance issues and compliance with reporting obligations under U.S. and French laws, including on environmental, social, and governance (ESG) matters.

Among the notable issuer clients Bonnie has worked with include Orange on ongoing securities compliance and its U.S. shelf program; Sanofi on its ongoing SEC compliance and U.S. shelf program; and EDAP TMS on ongoing securities compliance and equity offerings. Bonnie also has advised issuers on various capital market transactions, including representing Cellectis, Carmat, and the Kingdom of Belgium, and she was involved in the listing of EUROAPI (Sanofi's spin-off).

Prior to joining Jones Day, Bonnie practiced at an international law firm in Paris.
