Bonnie Smith exerce dans le domaine du droit des sociétés et des valeurs mobilières, en se concentrant sur les opérations réalisées sur les marchés de capitaux et des opérations de public M&A, en particulier concernant les aspects du droit boursier américain. Elle conseille les émetteurs sur un large éventail d’opérations complexes comme les introductions en bourse, les émissions de titres de capital ou de créances, les opérations de fusions et les offres publiques d'achat, ainsi que sur les obligations d'information périodique et permanente des émetteurs. Plus généralement, elle couvre l'ensemble des questions liées au droit des sociétés, y compris les sujets de gouvernance, et dispose d'une connaissance approfondie des réglementations européennes et françaises.

Depuis son arrivée chez Jones Day en 2022, Bonnie Smith a notamment conseillé des émetteurs français cotés en France et/ou Etats-Unis sur leurs obligations d’information périodique et permanente auprès de la SEC et sur leurs problématiques ESG et gouvernance (Sanofi, Orange et EDAP TMS) et dans le cadre de diverses opérations impliquant des augmentations de capital (EDAP TMS, Cellectis et CARMAT).

Avant de rejoindre Jones Day, Bonnie Smith a exercé au sein d’un cabinet d’avocats international à Paris.
