David Morris draws on his experience as outside counsel to health care providers and as in-house counsel to a health plan to assists clients with complex business arrangements driven by the evolution of value-based reimbursement and care delivery.
David advises health care providers, digital health and telehealth companies, and employers on a variety of transactional matters, including the development of direct contracting arrangements between self-insured health benefit plans and health care provider organizations; the structuring and negotiation of value-based and risk-based payment arrangements (e.g., shared risk, bundled payment, capitation, and percent of premium arrangements); the formation of clinically integrated networks (CINs) and accountable care organizations (ACOs); and the negotiation of administrative services agreements with third-party administrators (TPAs) and pharmacy benefits managers (PBMs). He also advises on compliance with state and federal laws impacting risk-bearing organizations, such as California's Knox-Keene Act and other state insurance laws.
Before joining Jones Day, David provided transactional and regulatory counsel to health care providers at another internationally recognized law firm. He later served as in-house counsel for one of California's largest health plans, where, in 2010, he advised the plan on the development of one of the country's first "accountable care" programs serving commercial plan members. David's unique and deep experience enables him to bring a distinctive, multidimensional perspective to every client engagement.
David is past editor-in-chief of the American Journal of Law & Medicine and a member of the American Health Lawyers Association (AHLA) and the California Society for Healthcare Attorneys (CSHA).
